4. Engagement and Acceptance

An engagement with HASHI3 LTD is formed when:

• We provide a written proposal or quotation that is accepted by you
• You provide written confirmation of acceptance
• Both parties execute a formal service agreement

These Terms apply to all engagements unless specifically modified in writing by both parties.

5. Fees and Payment

5.1 Fees

Our fees will be specified in the service agreement or quotation. Fees are quoted in British Pounds (GBP) unless otherwise stated.

5.2 Payment Terms

Unless otherwise agreed in writing:

• Payment is due within 30 days of invoice date
• We may require a deposit or advance payment before commencing work
• Late payment may result in suspension of services and interest charges

5.3 Expenses

Reasonable expenses incurred in the provision of services (such as travel, accommodation, and materials) will be charged separately and are payable in addition to our fees.

6. Client Obligations

You agree to:

• Provide accurate and complete information necessary for us to perform our services
• Grant us reasonable access to your personnel, facilities, and records
• Make timely decisions and approvals as required
• Comply with all applicable laws and regulations
• Pay fees and expenses in accordance with the payment terms

7. Our Obligations

We agree to:

• Perform services with reasonable skill and care
• Comply with applicable professional standards
• Maintain confidentiality of your information
• Provide services in accordance with agreed timelines where specified

8. Intellectual Property

Unless otherwise agreed in writing:

• We retain ownership of all intellectual property in our methodologies, tools, and pre-existing materials
• Deliverables created specifically for you will be owned by you upon full payment
• We may use anonymized information about the engagement for marketing and business development purposes

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information disclosed during the engagement. This obligation continues after the termination of the engagement.

10. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific engagement giving rise to the claim
• We shall not be liable for indirect, consequential, or special damages
• We shall not be liable for any loss arising from your failure to implement our recommendations

11. Indemnification

You agree to indemnify us against any claims, losses, or expenses arising from:

• Your breach of these Terms
• Your use of our deliverables in a manner not authorized by us
• Your failure to comply with applicable laws or regulations

12. Termination

Either party may terminate an engagement:

• By giving written notice if the other party breaches these Terms and fails to remedy the breach within 30 days
• For convenience with 30 days' written notice, subject to payment for services rendered

Upon termination, you remain liable for all fees and expenses incurred up to the date of termination.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

16. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to existing clients. Continued use of our services after changes constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any service agreement or statement of work, constitute the entire agreement between the parties regarding the subject matter.
